1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement between you (whether individually or representing an entity, "Client," "you") and OnPrime Labs ("OnPrime Labs," "we," "us," or "our"), regarding your access to and use of our web engineering services, our primary platform at onprime.in, our Client Collaboration Portal (/portal/), and all client staging subdomains.

By accessing our platform, engaging our agency services, or submitting a project inquiry, you agree to be bound by all of these Terms & Conditions.

2. Scope of Agency & Engineering Services

OnPrime Labs provides specialized digital platform engineering services, including but not limited to:

• Modular Web Development: Engineering bespoke web platforms using Django 5.2, PostgreSQL, and Tailwind CSS v4.
• Dynamic Subdomain Staging: Rapid prototyping on isolated client subdomains (client.onprime.in) powered by our dynamic tenant routing engine.
• Zero-Downtime Custom Domain Mapping: Configuring production domain mappings with automated Caddy On-Demand TLS verification.
• Standalone Project Export: Packaging client codebases into independent, self-contained Django projects via our automated CLI export pipeline.
• Client Collaboration Portal: Centralized dashboard for project tracking, ticket creation, and demo milestone sign-offs.

3. Subdomain Staging & Prototyping Rules

During the design and development phase, client projects are hosted on staging subdomains for validation and feedback:

• Staging environments are intended strictly for testing, review, and milestone validation. They should not be used as primary public-facing production sites unless explicitly agreed upon in writing.
• Clients are prohibited from uploading illegal, defamatory, copyright-infringing, or malicious code or content into staging portals or forms.
• We reserve the right to suspend or archive inactive or abandoned staging instances after milestone completion.

4. Intellectual Property & Zero Vendor Lock-In

We believe in complete client empowerment and total freedom:

• Client Deliverables & Ownership: Upon full payment of agreed project invoices, all custom software code, database models, templates, and brand assets developed specifically for your project become your exclusive intellectual property.
• Standalone Export Rights: Clients have the contractual right to request or receive a standalone export of their application via our export_client_site tool. This yields a clean, self-contained Django repository ready for independent Git hosting (e.g. GitHub/GitLab) and deployment to any cloud server (AWS, DigitalOcean, VPS) with zero vendor lock-in.
• Platform Core: The underlying OnPrime multi-tenant orchestration engine, CLI scaffolding tools, and agency core middleware remain the proprietary property of OnPrime Labs.

5. Custom Domains & DNS Configuration

When graduating from staging to a live production domain (e.g., clientdomain.com), the client is responsible for acquiring the domain through an accredited registrar and pointing the requisite DNS CNAME records to our cluster. OnPrime Labs handles automated SSL certificate issuance and renewal via Caddy On-Demand TLS.

6. Payment Milestones & Deliverables

Project timelines, engineering fees, and milestone payment schedules are specified in formal project statements of work (SOW) or written proposals. Work progresses through agreed stages (Discovery, Subdomain Prototype, Domain Switch / Code Export). Invoices must be cleared in accordance with agreed milestone terms before production release or final standalone code delivery.

7. Warranties & Limitation of Liability

We warrant that all code authored by OnPrime Labs conforms to professional web development standards and will function substantially as specified in project milestones. Except as explicitly stated, our platform and staging infrastructure are provided "as is". In no event shall OnPrime Labs be liable for indirect, incidental, or consequential damages resulting from third-party registrar outages, client DNS misconfigurations, or external cloud downtime exceeding agreed SLA limits.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
